Localforge provides SEO optimization, web development, and related digital marketing services for local businesses, primarily in the home services sector.

2.1 Service Scope

• Website design and development using Bricks Builder
• Technical SEO optimization
• On-page SEO implementation
• Schema markup implementation
• Backlink strategy consulting
• Conversion rate optimization
• Single location setup with up to 3 service pages (base package)
• Optional location-specific landing pages for multi-area coverage
• Optional additional service pages beyond the included 3

2.2 Service Limitations

We do not guarantee specific search engine rankings, traffic volumes, or business outcomes. SEO results depend on multiple factors including competition, domain authority, content execution, and search engine algorithm changes beyond our control.

2.3 Additional Services

Service Pages (beyond 3 included):

• Individual: £200 each
• 5 extra pages: +£750
• 10 extra pages: +£1,250
• 15+ extra pages: £110 each

Location Pages (for multi-area coverage):

• 4 location pages: +£800
• 8 location pages: +£1,200
• 12+ location pages: Custom quote required

This service is for single-entity local businesses, not multi-location businesses with separate physical locations or national franchises.

3. Client Responsibilities

3.1 Information Provision

You agree to:

• Provide accurate and complete information about your business
• Grant necessary access to websites, hosting, and relevant accounts
• Respond to requests for information in a timely manner
• Provide feedback and approval when required
• Submit 15-20 photos of your work within 7 days of deposit (photo guide provided). After 7 days, client chooses: (a) Continue with provided photos supplemented by stock/AI imagery (no extra cost if 10+ photos provided) (b) Full stock/AI imagery package (+£200)
• You’ll have full access to update photos yourself anytime after launch – we’ll show you how simple it is in Bricks Builder.

3.2 Backlink Execution

Where backlink strategy is provided as part of the service, you are responsible for executing the strategy (either yourself or through a third party). We provide guidance but do not guarantee ranking outcomes based on your execution.

3.3 Content and Legal Compliance

You warrant that:

• You own or have rights to all content provided to us
• Your business activities are legal and comply with all applicable laws
• You will not use our services for illegal, fraudulent, or harmful purposes

4. Payment Terms

4.1 Pricing

• Founding Client Rate: £2,000 (limited availability)
• Prices are in GBP and include VAT where applicable

4.2 Payment Schedule

• Payment terms will be specified in your service agreement
• Typical structure: 50% upfront, 50% upon completion of initial deliverables
• Payment is due within 7 days of invoice unless otherwise agreed

4.3 Late Payment

Late payments may incur:

• Interest at 8% above Bank of England base rate (statutory right under Late Payment of Commercial Debts Act 1998)
• Suspension of services until payment is received

4.4 Refunds

• Refunds are considered on a case-by-case basis
• Work completed cannot be refunded

5. Project Timeline

5.1 Estimated Timeframes

• Initial website build and optimization: 4-6 weeks
• SEO results typically visible: 60-90 days
• Timelines are estimates and may vary based on project complexity and client responsiveness

5.2 Delays

We are not liable for delays caused by:

• Client failure to provide necessary information or access
• Third-party service providers (hosting, domain registrars, etc.)
• Force majeure events beyond our reasonable control

6. Performance Guarantee (90-Day Promise)

6.1 What We Guarantee

Within 90 days of website launch, we guarantee measurable improvement in:

• Keyword rankings for target terms
• Organic impressions in Google Search Console
• Technical SEO scores (Core Web Vitals, PageSpeed, mobile optimization)

6.2 What Happens If No Improvement

If no measurable improvement occurs within 90 days, we will continue working at no additional cost to identify and address issues, including custom backlink consulting.

6.3 What This Does Not Guarantee

• Specific ranking positions (e.g., #1 on Google)
• Specific traffic or conversion volumes
• Results if client fails to execute recommended backlink strategy
• Protection against algorithm changes or competitor actions

6.4 Claiming the Guarantee

To claim, you must:

• Provide access to Google Search Console data
• Have followed all technical recommendations
• Notify us in writing within 90 days of project completion

7. Intellectual Property

7.1 Your Content

You retain all rights to content you provide. You grant us a license to use this content solely to deliver our services.

7.2 Our Work Product

Upon full payment:

• Website code and design become your property
• You receive a Bricks Builder license for your site
• You may modify or transfer the website as you wish

7.3 Our Methods and Processes

Our proprietary methods, processes, documentation, and business practices remain our intellectual property.

8. Founding Client Terms

8.1 Case Study Rights

Founding Clients receive discounted rates in exchange for:

• Permission to use their project as a case study
• Rights to publish anonymized or attributed results
• Testimonial and review rights

8.2 Testimonial Requirements

Founding Clients agree to provide:

• Written testimonial upon project completion
• Honest feedback about results achieved
• Permission to display company name (unless anonymity requested)

You may review and approve case study content before publication.

9. Confidentiality

9.1 Our Obligations

We will not disclose:

• Confidential business information you share
• Login credentials or sensitive access details
• Financial or proprietary information

9.2 Exceptions

We may disclose information:

• With your written consent
• As required by law or court order
• To service providers under confidentiality agreements
• In anonymized form for case studies (Founding Clients)

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability is limited to the amount you paid for services
• We are not liable for indirect, consequential, or punitive damages

Nothing in these Terms excludes liability for:

• Any liability that cannot be excluded under UK law

11. Third-Party Services

• Bricks Builder licensing

We are not responsible for third-party service failures, changes, or costs.

11.2 Recommendations

We may recommend third-party tools or services. You are responsible for:

• Evaluating these recommendations
• Any contracts or payments with third parties
• Compliance with third-party terms of service

12. Termination

12.1 Termination by You

You may terminate services by providing 14 days written notice. You remain liable for:

• Work completed to date
• Non-refundable costs incurred

12.2 Termination by Us

We may terminate immediately if you:

• Fail to pay invoices after 30 days
• Breach these Terms materially
• Engage in abusive or illegal conduct
• Provide false or misleading information

12.3 Effect of Termination

Upon termination:

• Access to work-in-progress will be provided (if paid for)
• Outstanding invoices become immediately due
• Confidentiality obligations survive termination

13. Dispute Resolution

Before formal proceedings, parties agree to attempt good-faith negotiation to resolve disputes.

13.2 Governing Law

These Terms are governed by the laws of England and Wales.

These Terms, together with any signed service agreement, constitute the entire agreement between parties.

15.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

You may not assign these Terms without our written consent. We may assign to affiliates or in connection with a business sale.

Neither party is liable for failure to perform due to circumstances beyond reasonable control (natural disasters, pandemics, government actions, etc.).
